When these terms apply
These Payment Terms form part of our Terms of Use, Terms for Buyers and Terms for Sellers. Please read these Payment Terms carefully, as they set out additional terms that apply to you when you make any payments through our Platform.
These Payment Terms use terms defined in, and should be read alongside, the Terms for Buyers and the Terms for Sellers.
Purchases by Buyers
2.1. Authorization. We use third party providers to process any payments you make through the Platform. You hereby authorize us to supply your payment card details to a third-party payment provider for the purpose of processing your Buyer Payments.
2.2. Currency. All Buyer Payments will be charged in US Dollars or your local currency, as shown at checkout. If your payment card was issued by a bank or other entity that is outside the US or if that card's currency is not the currency charged, your payment card provider will convert the Buyer Payment into your local currency and may charge you currency conversion fees. Please refer to your payment card provider's terms for information about their exchange rates and any fees they apply for international payments. We do not have control over currency exchange rates or charges imposed by your payment card provider or bank and we are not responsible for paying any charges or fees imposed by your payment card provider or bank. The charge appears as SLUSHY on your statement: LinkPay is powered by Slushy and bills under its merchant account.
2.3. Card Information Storage by Payment Processor. Our payment processor may store your payment card information for future transactions. Please refer to our payment processor's privacy notice at https://www.inoviopay.com/privacy for information about how they collect, store and use your personal information.
2.4. Cancellations and refunds. Other than as set out in the Refunds and Disputes Policy, all Buyer Payments made through the Platform are non-refundable.
2.5. No Sanctions. You must not use the Platform if you or, to your knowledge, anyone acting on your behalf, is currently subject to any U.S. sanctions administered by the Office of Foreign Assets Control of the U.S. Treasury Department ("OFAC") or any other similar or equivalent department or government entity in the jurisdiction in which you are located. You must not directly or indirectly use the proceeds of the offering, or lend, contribute or otherwise make available such proceeds to any subsidiary, joint venture partner or other person or entity, for the purpose of financing the activities of any person currently subject to any U.S. sanctions administered by OFAC.
Receiving payments as a Seller
This Section 3 applies to you if you use the Platform as a seller.
3.1. Payment Provider. We use third party payment providers to process payments made by buyers to sellers. The payment provider or partnering financial institution (individually and collectively, "Payment Provider") will receive funds owed to you by the buyer, and you hereby authorize LinkPay and Payment Provider to deduct LinkPay Platform Fees from Buyer Payments.
3.2. Chargebacks.
3.2.1. Disputes, also known as chargebacks, occur when a buyer contacts their card issuer to request their money back for Content purchased, rather than you, from whom they purchased the Content.
3.2.2. When a chargeback occurs, we will either:
- (a) deduct or net from any amounts owed to you the chargeback amount or debit any of your funds maintained in an account known to us, whether by you or in connection with the Platform or LinkPay services; or
- (b) at our election, we may respond to the chargeback request with proof of authorization for the transaction. In the event we elect to respond, you shall provide us all information requested by us to respond to the chargeback claim, including, but not limited to: status of the transaction, proof that the Content was received by the cardholder, and communication records. You must respond within the timeframes we provide and failure to do so will mean that we will not dispute the chargeback and you will be held liable and charged in accordance with the process set forth in Section 3.2.2(a). Once you submit the information, we will, in our discretion, review and submit the information to the card issuer on your behalf. The final outcome of the chargeback may generally take ninety (90) days, but sometimes longer. We will inform you of the outcome and if the chargeback dispute is rejected, you will be liable for the outcome plus any fees we have incurred in accordance with the process set forth in Section 3.2.2(a).
3.3. Seller Earnings. You can view the balance of your Seller Earnings through your seller account. Until you withdraw your Seller Earnings, we will hold those Seller Earnings on your behalf. To withdraw your Seller Earnings, you will need to provide us with your bank account details and tax forms as set out in our Terms for Sellers, and instruct us to transfer your Seller Earnings to your designated bank account using the appropriate functionalities on the Platform. You must ensure that the bank account details you provide are correct, as we will not be responsible to you for any losses if you fail to receive any Seller Earnings because you have provided incorrect bank account details.
3.4. Deductions from Your Account. If a buyer successfully seeks a refund or chargeback in connection with your Content, including (where applicable) as set out in the Refunds and Disputes Policy, our payment processor may deduct from your account any (i) amount of refund or charge-back (ii) offset from any future payments owed to you, and if (i) or (ii) isn't available we will invoice or seek recourse from you otherwise.
3.5. Raffles. You may not receive payment from a buyer in exchange for providing such buyer the chance to win anything of value, including without limitation in connection with a raffle, lottery, or any other kind of giveaway (collectively, a "Raffle"). Although we recognize a Raffle may enhance engagement with buyers that support your Content and attract new buyers to support your Content, we prohibit Raffles for the purpose of preventing LinkPay and you from potentially violating applicable gambling laws. We reserve the right, in our sole and absolute discretion, to designate a reward as a Raffle and accordingly prohibit it from the Platform.
However, certain rewards may not violate the prohibition on Raffles. We recommend you contact us at support@linkpay.co in the event you are unsure whether a reward violates the prohibition on Raffles. Notwithstanding the foregoing, you are responsible for compliance with applicable laws in connection with offering a reward to buyers, including without limitation applicable gambling laws. Accordingly, you should consult legal counsel before offering such reward to buyers.
How a sale is divided
A completed sale is distributed in a fixed order:
- Processing costs and taxes — the facts of what the payment cost, from the payment provider and the tax authority.
- The platform fee — ours, taken before anything is distributed.
- The seller’s share — what remains after the first two.
The shares always add up to the sale less processing costs and taxes. Nothing is taken twice and no share can go negative on a sale.
Every allocation records the fee configuration that produced it. A later change to a fee does not reopen a settled sale — reversals and adjustments use the configuration that applied at the time, not the current one.
The platform fee
The platform fee is what LinkPay charges to run the service. It is taken before proceeds are distributed, and is shown on every sale in your dashboard.
By default the fee is 30% of a sale, so you keep 70%.
The default is not the only rate. A fee can be agreed with an individual seller, and where one has been, that agreed rate applies instead of the default.
Your actual rate is always the one shown on your sales, not the default quoted above.
We may change the fee. A change takes effect on a stated future date and we will tell you before it does. It never applies to a sale that has already happened.
Your balance and the 10-day hold
You have two figures, and the difference between them is time:
- Pending — earned, but still inside the hold.
- Available — out of the hold and ready to withdraw.
Every amount you earn matures 10 days after the sale. The hold exists because a card payment can be reversed after it has settled; it is the window in which a reversal costs nobody anything, and it is what makes it safe to pay out at all.
Balances belong to the person who earned and are calculated from the record of allocations rather than kept as a running total, so what you see is what the ledger says.
Earning is never delayed by the hold. Only withdrawing is.
Tax documents gate every disbursement
Nothing leaves your balance until we have the right tax document from you. Which one depends on who you are:
- W-9 — a US person, individual or entity.
- W-8BEN — a foreign individual who is the beneficial owner.
- W-8BEN-E — a foreign entity, signed by an authorized signer.
An expired certification blocks payment exactly as a missing one does. A W-8 lapses at the end of the third calendar year after it was signed; a W-9 does not expire on a clock, but a change in your circumstances invalidates it. If yours has lapsed, refile before you need the money.
This gates both withdrawals and advances. An advance disburses money the same way a withdrawal does, so gating only one would leave the same obligation unmet through another door.
The form itself is prepared, signed and stored by our tax-form provider, not by us — we receive only a record that you filed, when, and a reference to the document. Your taxpayer identification number is never stored by LinkPay. That provider account is shared with Slushy, operated by the same company; filings are namespaced so the two products’ records are distinguishable. See our Privacy Notice.
Your taxes are yours. You are responsible for reporting and paying tax on what you earn, and for any sales or value-added tax on what you sell, except where we are required to withhold and remit it. Where the law requires us to report what we paid you, we will.
Withdrawals
You can withdraw your available balance. To do so, all of the following must be true:
- your tax document is on file and current;
- your identity is verified;
- you have an active payout account;
- your available balance is greater than zero and not negative.
Payouts are made in US dollars through our payout provider. If a payout fails, is returned, or is cancelled, the amount goes back to your balance and the reason is shown in your withdrawal history. Make sure your payout details are right — we are not responsible for money that goes astray because they were wrong.
We may change payout providers.
Advances — paying out before the hold ends
An advance pays out money that is still inside the hold, for a fee of 15% of the amount advanced. You receive 85%; the 15% is ours.
An advance is all-or-nothing. It takes your entire pending balance at the moment you request it — there is no partial advance. Before you confirm, you will be shown the full pending amount, the fee, and exactly what you will receive.
Amounts you advance do not pay out again when they would otherwise have matured; you have already had them.
The risk you are taking on is real, and it is why the fee exists. The hold exists to catch reversals. If you take money out before the hold has run and a buyer’s payment is later reversed, the reversal still happens — and because the money is already yours, it is recovered from what you earn next. Your balance can go negative and stay negative until later earnings clear it. See below.
An advance requires the same tax document and verification as a withdrawal.
Refunds, chargebacks, and negative balances
A refund is initiated by the seller or by us. A chargeback is initiated by the buyer’s card issuer, and can arrive months after the sale.
Either way, the reversal is applied against the shares the original sale created — platform and seller — in proportion, using that sale’s own configuration. Records are never rewritten; a reversal is a new entry.
Two cases, depending on timing:
- Inside the hold — the amount was never available. It cancels out and nobody is out of pocket.
- After it was paid out, or advanced — the money is already gone, so the reversal drives the balance negative.
A negative balance is a debt. It is recovered by netting against what you earn next, and payouts are blocked while it is negative. If you stop selling while owing us, we may invoice you or otherwise seek to recover it.
Card networks charge a fee per dispute, which may be charged to the party who earned on the sale.
You agree to cooperate promptly in disputing a chargeback and to provide what you have about the sale within the time we ask for, as set out in Section 3.2. If we cannot respond because you did not, the loss is yours. If a dispute is later won, the reversed amounts are credited back.
When we may withhold
We may withhold or set off amounts owed to you where we reasonably suspect fraud, unlawful activity, or a serious or repeated breach of our terms — for as long as it takes to investigate, and no longer. If we withhold, we will tell you why. We may also set off amounts you owe us against amounts we owe you. We do not forfeit earnings for inactivity.
